1. Agreement to Terms

If you do not agree to these Terms, you must not use the sites or Services.

These Terms apply to all visitors, users, and others who access or use the sites or engage our Services.

2. Changes to Terms

We reserve the right to update, change, or replace any part of these Terms at any time by posting updates on this page. We will update the "Last updated" date at the top when changes are made. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall control with respect to those specific Services.

4. Eligibility and Age Requirement

You must be at least 18 years old to use this sites or engage our Services. By using the sites or Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Materials provided as part of paid Services (such as course materials, worksheets, or training documents) are licensed to you solely for your personal or internal business use and may not be shared, resold, or redistributed without our express written permission.

8. User-Generated Content

If you submit, post, or otherwise make available any content to the sites (such as comments, testimonials, feedback, or suggestions) (collectively, "User Content") or social media sites, you grant Spring Forward. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media.

You represent and warrant that:

  • You own or control all rights to the User Content

  • The User Content does not violate the privacy rights, publicity rights, copyrights, or other rights of any third party

  • The User Content is not defamatory, obscene, or otherwise unlawful

We reserve the right to remove or refuse to post any User Content for any or no reason at our sole discretion.

9. Payment Terms

Fees for Services are specified in invoices, proposals, or Service Agreements. Payment terms may include:

  • Hourly rates or flat project fees

  • Retainers or deposits payable before services begin

  • Recurring subscription fees for ongoing services

  • Late fees for overdue invoices

Unless otherwise stated, all fees are due within 15 days of the invoice date. Overdue balances may incur a late fee of 10% per month.

You are responsible for all taxes, duties, or other governmental charges related to your use of the Services, except for taxes based on our net income.

10. Cancellation, Refunds, and Rescheduling

Cancellation by You:
You may cancel or reschedule a scheduled consultation or service by providing at least 48 hours advance notice. Cancellations or rescheduling requests made with less notice may result in forfeiture of the session or a cancellation fee.

Refund Policy:
Fees paid for completed services are non-refundable. For multi-session programs or courses, refunds may be provided on a prorated basis if you cancel before the specified deadline, minus any applicable administrative fees. Digital products, downloadable materials, and one-time consultations are non-refundable once delivered or completed.

Cancellation by Us:
We reserve the right to cancel or reschedule Services due to unforeseen circumstances (such as illness, emergencies, or technical issues). If we cancel a scheduled session, you will receive a full refund or the option to reschedule at no additional charge.​

11. Professional Relationship and Disclaimers

Independent Contractor Status:
Spring Forward operates as an independent consultant and educator. Any services provided do not create an employer-employee, partnership, or joint venture relationship between you and Spring Forward.

No Medical, Legal, or Financial Advice:
Our Services are educational and consultative in nature and are not a substitute for professional medical, legal, financial, or other specialized advice. You should consult with appropriate licensed professionals for specific medical, legal, or financial matters.

No Guaranteed Outcomes:
While we strive to provide high-quality Services, we do not guarantee specific results, outcomes, or achievements from your participation in our programs or use of our materials. Success depends on many factors beyond our control, including your commitment, circumstances, and application of the information provided.

Information Accuracy:
We make reasonable efforts to ensure the accuracy and currency of information on the sites, but we do not warrant that the sites or content is error-free, complete, or up to date. Content on the sites is provided for general informational purposes only and should not be relied upon as the sole basis for making decisions.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPRING FORWARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE sites OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO SPRING FORWARD IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Spring Forward, its affiliates, and their respective officers, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the sites or Services

  • Your violation of these Terms

  • Your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights

  • Any User Content you submit or make available

14. Links to Third-Party Websitess

The sites may contain links to third-party websitess or services that are not owned or controlled by Spring Forward. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websitess or services. You acknowledge and agree that Spring Forward shall not be responsible or liable for any damage or loss caused by your use of any third-party websitess or services.

15. Termination

We may terminate or suspend your access to the sites or Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the sites and access the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Dispute Resolution:
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the sites or Services, the parties agree to first attempt to resolve the dispute informally by contacting Spring Forward at info@SpringForwardCo.com.

If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, to be held in Baltimore, Maryland. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.​

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class Action Waiver:
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.​

17. Waiver and Severability

No waiver by Spring Forward of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreements, constitute the entire agreement between you and Spring Forward regarding your use of the sites and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
